Terms and Conditions

These Terms and Conditions (“Terms”) form a binding agreement between you and AlphaNote (“AlphaNote,” “we,” “us,” or “our”) governing your access to AlphaNote’s websites, applications, subscriptions, AI features, calculators, storage, exports, and related services (collectively, the “Service”). By creating an account, starting a trial, purchasing a subscription, or using the Service, you agree to these Terms.

You must be at least 18 years old and legally capable of entering into a contract. If you use the Service for an employer, laboratory, university, or other organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

AlphaNote provides tools for organizing research materials, drafting and editing notes and protocols, performing supported calculations and analyses, and interacting with AI-assisted features. Features, models, integrations, limits, and availability may vary by plan and may change over time.

The Service is a productivity tool. It is not a laboratory safety system, validated electronic records system, medical device, clinical decision system, or substitute for qualified scientific, statistical, legal, medical, safety, or regulatory advice.

You must provide accurate information, keep your credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account except to the extent caused by our breach of these Terms or applicable law. Accounts may not be sold, transferred, or shared outside the organization or plan for which they were created.

Paid plans renew automatically for the billing period shown at checkout unless cancelled before renewal. If a free trial is offered, its length, eligibility, included usage, and post-trial price will be disclosed before checkout. Where required by applicable law, we will send a reminder before your trial converts to a paid subscription and the first charge is made, using the contact details on your account. Unless you cancel before the trial ends, the payment method provided at checkout will be charged for the selected plan.

Prices are displayed in the currency and at the frequency shown at checkout and exclude applicable taxes unless stated otherwise. You authorize AlphaNote and its payment processor to charge all disclosed recurring fees and taxes. Failed payments may result in restricted or suspended access.

You may cancel through the account billing controls or Stripe customer portal, using a process no more difficult than the one used to subscribe. Cancellation normally takes effect at the end of the current paid period or trial. Except where required by law or expressly stated at checkout, fees already paid are non-refundable. Plan changes, usage allowances, and any prorating or future effective date will be shown before confirmation.

Plans may include limits for AI usage, image processing, storage, searches, exports, or other resources. “Unlimited” or “fair-use” features remain subject to reasonable technical and anti-abuse limits. We may temporarily rate-limit unusually intensive use that threatens security, availability, cost integrity, or other users, but will not use fair-use limits to negate the core value of a paid plan.

You retain ownership of notes, data, files, prompts, images, protocols, and other material you submit to the Service (“User Content”). You grant AlphaNote a limited, non-exclusive, worldwide licence to host, copy, process, transmit, display, and create technical derivatives of User Content only as reasonably necessary to provide, secure, support, and improve the Service, comply with your instructions, and meet legal obligations.

You represent that you have the rights and permissions needed to submit User Content and to instruct us to process it. You remain responsible for obtaining required institutional, participant, patient, collaborator, copyright, confidentiality, ethics, and data-protection approvals before uploading material.

Do not use the Service to store or process information subject to special contractual or regulatory safeguards—including identifiable patient health information, controlled technical data, classified material, or regulated clinical records—unless AlphaNote has expressly agreed in writing to the required safeguards. You are responsible for de-identification, access controls, retention rules, and determining whether the Service is appropriate for your use case.

AI-generated or computed outputs may be incomplete, inaccurate, outdated, non-reproducible, or unsuitable for your circumstances. Citations may be missing or incorrect. You must independently review outputs, inspect source material, validate calculations and assumptions, and apply appropriate professional judgment before relying on or acting on them.

You are solely responsible for experimental design, laboratory procedures, dosages, concentrations, safety controls, equipment settings, statistical conclusions, regulatory submissions, and real-world decisions. Never use an output as the sole basis for work that could cause injury, contamination, property damage, research misconduct, or material loss.

You must not use the Service to violate law or third-party rights; compromise privacy or confidentiality; develop or deploy biological, chemical, radiological, nuclear, or other harmful weapons capabilities; generate malware; bypass access or usage controls; probe or disrupt the Service; scrape it at scale; impersonate others; misrepresent AI output as independently verified work; or help another person do any of these things.

You may not reverse engineer or extract non-public source code except where applicable law expressly permits it, nor use automated means to access the Service contrary to published documentation or reasonable technical restrictions.

The Service, including its AI features, may be subject to export control and economic sanctions laws, including those of Canada, the United States, and the European Union. You represent that you are not located in, and are not a national or resident of, any country or region subject to comprehensive trade sanctions, and that you are not listed on any applicable restricted-party or denied-persons list. You agree not to use the Service to export, re-export, or transfer controlled technology or technical data in violation of applicable law.

AlphaNote and its licensors own the Service, software, interfaces, branding, documentation, and all related intellectual property, excluding User Content. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose during your account or subscription term. No other rights are granted.

If you believe material accessible through the Service infringes your copyright, send a notice to team@alphanote.ca including: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and its location within the Service; (c) your contact information; (d) a statement that you have a good-faith belief the use is unauthorized; and (e) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on the copyright owner's behalf. We will respond in accordance with applicable law, which may include removing or disabling access to the material and notifying the affected user.

If you provide suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.

Our handling of personal information, including any transfer of personal information outside your country of residence and the safeguards that apply to such transfers, is described on our Security & Privacy page and is subject to applicable privacy law. We may use service providers for hosting, authentication, storage, payments, analytics, communications, document processing, and AI functionality. Those providers may process information on our behalf under their applicable terms and safeguards, including standard contractual clauses or equivalent mechanisms where required for international transfers.

We work to keep the Service available but do not guarantee uninterrupted or error-free operation. Maintenance, security events, provider failures, or circumstances beyond our reasonable control may affect availability. You should maintain independent copies of important User Content and exported research records. We may modify or discontinue features; where a change materially reduces a paid Service, we will provide reasonable notice when practicable.

You may stop using the Service or delete your account through available account controls. We may suspend or terminate access when reasonably necessary to address non-payment, material breach, unlawful or dangerous use, security risk, harm to the Service or others, or legal requirements. Where reasonable, we will give notice and an opportunity to cure. Provisions that by their nature should survive termination—including ownership, payment obligations, disclaimers, liability limits, and dispute terms—will survive.

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” AlphaNote disclaims implied warranties and conditions of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability. We do not warrant that outputs, citations, calculations, storage, or exports will be complete, correct, recoverable, or suitable for regulated or high-risk use. Nothing in these Terms excludes warranties, guarantees, or rights that cannot lawfully be excluded.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, wilful misconduct, or any other liability that cannot lawfully be limited or excluded.

Subject to the paragraph above and to the maximum extent permitted by law, AlphaNote and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, research opportunity, data, or business interruption arising from the Service.

Subject to the first paragraph of this section and to the maximum extent permitted by law, AlphaNote's aggregate liability arising from the Service or these Terms will not exceed the greater of (a) the amount you paid AlphaNote during the 12 months before the event giving rise to the claim and (b) CAD $100.

To the extent permitted by law, you will indemnify and hold AlphaNote harmless from third-party claims, damages, and reasonable costs arising from your unlawful use of the Service, your User Content, or your material breach of these Terms. This obligation does not apply to the extent a claim was caused by AlphaNote’s breach, negligence, or wilful misconduct.

These Terms are governed by the laws of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Subject to any non-waivable rights you have under applicable consumer law, the courts located in Alberta have jurisdiction. Before filing a claim, each party agrees to make a good-faith effort to resolve the dispute by contacting the other party first and attempting to reach a resolution within 30 days. Nothing in these Terms requires a consumer to waive a statutory right, remedy, forum, or protection.

We may update these Terms to reflect changes to the Service, law, security requirements, or business practices. We will post the revised Terms and update the effective date. If a change materially affects your rights or obligations, we will provide reasonable advance notice when required by law. Continued use after the effective date constitutes acceptance, but changes will not retroactively reduce accrued rights without your consent.

These Terms and any incorporated policies are the entire agreement concerning the Service. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, acquisition, or sale of assets, subject to applicable law.
